IFCI Limited

IFCI asks bidders to discount govt aid

The IFCI board has ruled out government assistance up to Rs 1,300 crore due this fiscal. The strategic investor in IFCI must discount government’s support of up to Rs 1,300 crore, when making the final bid. The IFCI management has decided to communicate as much to the bidders, that this subsidy should be ruled out while arriving at a valuation for the 26% bid.

“The management has taken a view that government assistance will not be factored in. Though the government has made a budgetary provision of up to Rs 1,300 crore, it will not accrue to IFCI. The bidders will be well aware of this before they put in their financial bids later this month,” a source said.

“Once IFCI gets a strategic investor, the institution can do without government assistance. The assistance was first provided to help IFCI come out of the red. Now that it is back in the black, it might not need the assistance,” a government official had indicated.

This may potentially impact the price that bidders will be willing to pay IFCI. “If the government assistance is ruled out, it will have an impact on the profitability of the institution over a period of time. The government is always justified in bailing out public finance institutions. However, at another level, lesser intervention from the government is welcome,” one of the bidders which is a part of a consortium said.

The bidder was, however, positive about having International Finance Corporation on board saying, “It would be a stabilising factor and would add value.” The IFCI board is in consultation with the multilateral lender for equity stake of less than 20%. Further, conversion of government’s loan to IFCI worth Rs 923 crore into equity is ruled out at this stage. It will now be redeemed only in 2022 as per the original agreement.

Bidders were apprehensive that in the event that the government converted its debt into equity, it would have abridged the 26% that will be offered to the strategic investor. Besides, the government would be perceived as too large a player on the board, since it could reduce the control that the strategic investor could wield.

Already, state-owned banks and insurance companies, have a quasi-government stakeholding in the company, which makes it difficult for the strategic investor with 26% stake to vest management control in future. Last week, at its board meeting, the IFCI management resolved issues of debt conversion for its creditor banks by letting them convert debt worth Rs 1,479 crore into equity. After this change in equity structure, the stake of government -controlled firms in IFCI will rise to 39%.

Till date, of the eight shortlisted bidders, four have conducted due diligence. These include the Sterlite Industries and Morgan Stanley & Co consortium, the WL Ross, GS Capital Partners (VI) Fund, Standard Chartered Bank and HDFC combine, the Shinsei Bank, PNB and JC Flowers group and the Cargill Financial Services Corporation and Texas Pacific consortium.

The last date of submission for financial bids has been fixed as December 14. The IFCI board is expected to announce the strategic investor by December 20. The remaining bidders — GE Corporation, IDFC, Natixis and Blackstone Group — are yet to conduct due diligence on IFCI.

Hindustan Oil Exploration Company

HOEC on charts has formed a cup and a handle and even given a breakout. So this move is almost done ? No not as yet. We can expect the breakout to be at least 38 points from the base line which results in 173 target at least. The time frame in which it should be met is too large but we see the result coming in a few days only. The closing rate on Monday 3rd has been 150 and still more to go. Momentum can take this to 180 or even 200 levels in a very short to short term.

IFCI Ltd.

IFCI Ltd has informed that the Board of Directors of the Company at its meeting held on December 01, 2007, inter alia, has transacted the following:

1. Resolution of issues relating to recompensation and conversion of Rs 1,479 Crore held in the form of Zero Coupon Optionally Convertible Debentures (ZCOCDs) by banks and financial institutions repayable on April 01, 2022.

A need had arisen to obtain clarity on convertibility and recompensation clauses in light of IFCI's proposal to induct a strategic investor through sale of fresh equity amounting to 26% on a post-diluted basis. Public Sector Banks and Financial Institutions had converted 50% of their non SLR Investments in IFCI into 20 year ZCOCDS, as a part of the exercise under the aegis of the Government of India, in November and December 2002, to restructure liabilities of IFCI. Accordingly, a meeting was held, under the aegis of the government, presided by the Joint Secretary to Government of India on Oct 11, 2007. Thereafter, a consensus amongst the Public Sector Banks and Financial Institutions regarding convertibility and recompensation of the ZCOCDs was sought to be achieved through one-on-one meetings and finally a meeting of all the Banks and Financial Institutions on IFCI.

The consensus, which emerged, is as follows:

- LIC, GIC and associates agreed to convert that part of ZCOCDs into equity which would retain their holding in IFCI in percentage terms at existing levels. The balance amount held by LIC and other FIs would carry an interest rate of 75 basis points below 15 year G—Sec from the first 3 years and 75 basis points above 15 years G-Sec, after 3 years post induction of strategic investors.

- Public Sector Banks have agreed to convert their entire holdings in ZCOCDs into equity.

The Board of Directors of IFCI have approved the above arrangement.

2. IFCI is also in discussion with multilateral institutions to take a stake in IFCI.

3. Induction of Strategic Investor: Out of 10 applicants from whom Expressions of Interest were received. IFCI had shortlisted 8 bidders. Out of 8 shortlisted bidders, 4 have carried out due diligence on IFCI. These are

v. Sterlite Industries and Morgan Stanley and Co.

vi. WL Ross, US Capital Partners VI Fund, Standard Chartered Bank and HDFC.

vii. Cargill Financial Services Corporation and Texas Pacific Group

viii. Shinsei Bank Ltd, PNB and JC Flowers & Co.

The last date of submission for financial bids has been fixed as Dec 14, 2007.

  • Open interest in Nifty futures has fallen by 22.97% whereas the Nifty price has increased by 2.27% from 5634.60 to 5762.75. This is due to the expiry of November series.
  • The Nifty PCR-OI has risen from 1.10 levels to 1.34 levels.
  • The current premium in Nifty is 40.75 points and the CoC is currently positive 9.56%.
  • Nifty Futures annual volatility has risen from 38.51% to 39.81%.
  • Stocks currently trading at a significant premium in December series are J&KBANK, TATATEA, BHUSANSTL, KTKBANK and SASKEN.

  • The phenomenal rise in PCR-OI is due to significant addition of contracts in most strike price Put options. Since the November series contracts have just expired this rise in the PCR-OI should be given limited importance and a view based on it should be formed only after a few trading sessions. The maximum addition of OI was seen in the 5800 strike price Call & Put option. The options build-up at this level indicates that Nifty may breach this resistance in the coming sessions. Moreover, the 5700 may act as a good support on closing basis for the time being.
  • We can see unwinding of positions in most counters however that is due to the expiry of the November series contracts and not due to the ambiguity amongst participants.
  • ASHOKLEY and IDFC though having shown shortcovering in last trading session have added noteworthy long positions in previous series and have also witnessed healthy rollover. These stocks may continue to trade with a positive bias.

Dealers Diary

Friday’s trading session ended the day on an extremely strong note taking positive cues from the Asian markets. Market breadth was strong. All sectoral indices ended in positive territory with the Metal, Power, Realty and IT counters trading very strong. The Mid-cap index outperformed the benchmark indices. The GDP growth for the second quarter of this financial year slowed to 8.9% (10.2%) due to a slowdown in manufacturing. The Inflation rate rose on the back of higher vegetable prices to 3.21% for the week ended November 17 as against 3.01% in the previous week. Among the frontliners, Satyam Computers, HDFC, TCS, Reliance Energy and DLF gained 3-7%, while BHEL, Bajaj Auto, Ambuja Cement and HUL lost 0.3-1%. In the Mid-cap segment, Rashtriya Chemicals, Wire & Wireless, Phoenix Mills, ABG Shipyard and Hotel Leela gained 10-12%, whereas Info Edge, Redington, Atlas Copco, Orchid Chemicals and IL&FS Investsmart lost ground by 3-6%.


Markets Today
The trend deciding level for the day is 5726/19265. If the NIFTY trades above this level during the first half-an-hour of trade then we may witness a further rally upto 5819-5877/16523-19683. However, if NIFTY trades below 5726/19265 for the first half-an-hour of trade then it may correct upto 5669/19105.

Just one stock in fno ban period

Security in ban period for trade date December 03, 2007- F&O segment

The derivative contracts in the underlying ADLABSFILM have crossed 95% of the market-wide position limit and are currently in the ban period. It is hereby informed that all clients/ members shall trade in derivative contracts of ADLABSFILM only to decrease their positions through offsetting positions. Any increase in open positions shall attract appropriate penal and disciplinary action in accordance with the Circular No. NSCC/F&O/C&S/365 dated August 26, 2004.

It is very surprising to note that at the end of Friday, and after a huge volatility, the stocks in fno ban period had only one listing. The day time showed lots of warning shares hitting near limit values but ending in just one being left over. This amounts to the punters again trying to get active for the next few days.
